Terms of Service

1. Acceptance of Terms

By accessing or using the Micipi platform available at micipi.com (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Micipi LTD, a company incorporated in England and Wales under company number 16314495 (“Micipi,” “we,” “us,” or “our”).

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.

These Terms are effective as of March 31, 2026.

2. Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. Account authentication is provided through Clerk, a third-party authentication service. By registering, you agree to:

  • Provide accurate, current, and complete information during the registration process;
  • Maintain and promptly update your account information;
  • Maintain the security and confidentiality of your login credentials;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately at support@micipi.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Service Description

Micipi is an MCP (Model Context Protocol) server marketplace that enables users to create, deploy, discover, and monetise MCP servers. The Service provides:

  • Tools for creating and deploying MCP servers;
  • A marketplace for discovering and using MCP servers created by other users;
  • AI-assisted functionality for server creation and configuration;
  • Credit-based billing for premium features and resource consumption;
  • APIs and integrations for connecting MCP servers to external services.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to any applicable legal requirements.

5. Credits and Billing

Micipi operates on a freemium model with Free, Starter, and Pro tiers. Certain features and usage beyond free-tier limits require the purchase of credits.

5.1 Nature of Credits

Credits are a mechanism for tracking and paying for usage of the Service. Credits:

  • Are not currency, securities, stored value, or electronic money;
  • Are non-transferable between accounts;
  • Are non-redeemable for cash or any monetary equivalent;
  • Have no value outside the Micipi platform;
  • May expire as set forth in your subscription plan terms.

5.2 Payment Processing

All payments are processed through Stripe. By purchasing credits or subscribing to a paid plan, you agree to Stripe’s terms of service in addition to these Terms. You are responsible for providing accurate payment information and ensuring sufficient funds for recurring charges.

5.3 Refunds

Refund requests are handled on a case-by-case basis. To request a refund, contact us at support@micipi.com within fourteen (14) days of the relevant charge. We reserve the right to deny refund requests that we determine, in our reasonable discretion, to be abusive or fraudulent. Statutory refund rights applicable in your jurisdiction are not affected by this clause.

5.4 Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least thirty (30) days’ notice.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights in the MCP servers, code, configurations, and other content you create and upload to the Service (“Your Content”). By publishing Your Content on the Micipi marketplace, you grant Micipi a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, distribute, display, and make available Your Content solely for the purpose of operating, providing, and promoting the Service.

6.2 Micipi’s Intellectual Property

The Service, including its original content (excluding Your Content), features, functionality, design, and underlying technology, is and remains the exclusive property of Micipi LTD and its licensors. The Micipi name, logo, and all related marks are trademarks of Micipi LTD. You may not use our trademarks without our prior written consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Micipi an unrestricted, irrevocable, perpetual, royalty-free licence to use such feedback for any purpose without obligation to you.

7. User Content and Conduct

You are solely responsible for Your Content and your conduct on the Service. You agree not to upload, publish, or transmit any content that:

  • Infringes any third party’s intellectual property or other rights;
  • Is unlawful, defamatory, obscene, abusive, threatening, or otherwise objectionable;
  • Contains malware, viruses, or any harmful code;
  • Is designed to collect personal data of other users without their consent;
  • Violates any applicable law or regulation;
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity.

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts responsible for such violations, without prior notice.

8. Marketplace Terms

The Micipi marketplace allows users to publish and discover MCP servers created by third parties. The availability of third-party MCP servers on our marketplace does not constitute an endorsement, guarantee, or warranty by Micipi of those servers, their functionality, accuracy, or safety.

Third-party MCP server creators are solely responsible for their servers, including their legality, reliability, and compliance with applicable laws. We encourage you to review the documentation and terms provided by individual server creators before using their tools.

Micipi reserves the right to remove any MCP server from the marketplace at its sole discretion, including for violations of these Terms or applicable law.

9. AI-Generated Content

The Service may use artificial intelligence to assist with MCP server creation, code generation, configuration, and other functionality. You acknowledge and agree that:

  • AI-generated content is provided “as is” without any guarantee of accuracy, completeness, or fitness for a particular purpose;
  • You are solely responsible for reviewing, testing, and validating all AI-generated output before deploying or relying on it;
  • AI-generated content may contain errors, inaccuracies, or unintended functionality;
  • Micipi is not liable for any damages arising from your use of or reliance on AI-generated content;
  • You must ensure that any AI-generated content you deploy complies with all applicable laws and these Terms.

10. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the generality of the foregoing, you shall not:

  • Use the Service to engage in any illegal activity or to facilitate the violation of any law or regulation;
  • Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to distribute spam, malware, or other harmful content;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Use automated means to access the Service in a manner that exceeds reasonable usage or places an unreasonable load on our infrastructure.

A more detailed Acceptable Use Policy may be published separately and incorporated by reference into these Terms.

11.1 Takedown Notices

If you believe that content available on the Service infringes your copyright, you may submit a takedown notice to our designated agent at support@micipi.com. Your notice must include:

  1. A physical or electronic signature of the copyright owner or a person authorised to act on their behalf;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material claimed to be infringing and its location on the Service;
  4. Your contact information, including address, telephone number, and email;
  5. A statement that you have a good faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law;
  6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner.

11.2 Counter-Notices

If you believe that your content was removed by mistake or misidentification, you may submit a counter-notice to support@micipi.com including:

  1. Your physical or electronic signature;
  2. Identification of the material that was removed and the location where it appeared before removal;
  3. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification;
  4. Your name, address, telephone number, and a statement that you consent to the jurisdiction of the courts of England and Wales (or, for US residents, the federal court for the district in which your address is located) and that you will accept service of process from the person who filed the original notice.

11.3 Repeat Infringers

Micipi will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances. We may, in our sole discretion, limit access to the Service or terminate the accounts of any users who infringe any intellectual property rights, whether or not there is any repeat infringement.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand how we collect, use, and protect your personal data.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MICIPI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MICIPI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT AND THIRD-PARTY MCP SERVERS.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law. Nothing in these Terms affects your statutory rights as a consumer.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICIPI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of, or inability to access or use, the Service;
  • Any conduct or content of any third party on the Service, including MCP servers published by other users;
  • Any content obtained from the Service, including AI-generated content;
  • Unauthorised access, use, or alteration of your transmissions or content.

MICIPI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO MICIPI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Micipi, its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service;
  • Your Content, including any MCP servers or tools you create, publish, or distribute through the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third party’s rights, including intellectual property rights.

16. Force Majeure

Micipi shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Micipi’s reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, power failures, internet or telecommunications failures, governmental actions, labour disputes, or third-party service outages.

17. Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations, including those of the United Kingdom, the European Union, and the United States. You shall not use the Service or export any data or software obtained through the Service in violation of such laws. You represent and warrant that you are not located in, or a resident or national of, any country subject to comprehensive trade sanctions, and that you are not listed on any applicable denied party list.

18. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at support@micipi.com and attempt to resolve the dispute informally for at least thirty (30) days.

19.2 Arbitration (Non-EU/UK Users)

For users outside the European Economic Area and the United Kingdom, any dispute that cannot be resolved informally shall be finally resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Arbitration Rules in force at the time of filing. The seat of arbitration shall be London, England. The language of the arbitration shall be English. The arbitration shall be conducted by a single arbitrator.

19.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

19.4 EU/UK Users

If you are a consumer in the European Economic Area or the United Kingdom, you may bring proceedings in the courts of the country in which you are resident. Nothing in this section affects your statutory rights under applicable consumer protection law.

20. Jurisdiction-Specific Terms

20.1 United States

If you are a resident of the United States, the following additional terms apply:

  • CCPA: If you are a California resident, you have rights under the California Consumer Privacy Act. Please refer to our Privacy Policy for details on how to exercise your rights.
  • Binding Arbitration: Disputes shall be resolved by binding arbitration as set forth in Section 19.2, except where prohibited by applicable law.
  • Class Action Waiver: The class action waiver in Section 19.3 applies to the fullest extent permitted by law.

20.2 European Economic Area and United Kingdom

If you are a consumer in the EEA or UK, the following additional terms apply:

  • Right of Withdrawal: You have the right to withdraw from a purchase within fourteen (14) days without giving any reason. However, by accessing and using paid features of the Service immediately upon purchase, you expressly consent to the commencement of the service and acknowledge that you lose your right of withdrawal once the digital content has been fully provided.
  • Consumer Protection: Nothing in these Terms shall affect your statutory rights as a consumer under applicable EU or UK consumer protection legislation, including the Consumer Rights Act 2015 (UK) and the Consumer Rights Directive (EU).

20.3 Brazil

If you are a resident of Brazil, the following additional terms apply:

  • LGPD: You have rights under the Lei Geral de Proteção de Dados. Please refer to our Privacy Policy for details.
  • Consumer Code: These Terms are subject to the Brazilian Consumer Defence Code (Código de Defesa do Consumidor). In the event of any conflict between these Terms and the Consumer Defence Code, the provisions of the Consumer Defence Code shall prevail.

21. Changes to Terms

We may update these Terms from time to time. We will provide at least thirty (30) days’ notice of any material changes by posting the revised Terms on the Service and, where practicable, notifying you by email. The “Last updated” date at the top of these Terms indicates when the latest revisions were made.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by Micipi on the Service, constitute the entire agreement between you and Micipi regarding your use of the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning the subject matter hereof.
